The Board of Trustees Bylaw is a regulatory document issued by the Suleiman Bin Abdulaziz Al Rajhi Charitable Foundation to establish the legislative and administrative framework governing the work of the Board of Trustees. The bylaw provides essential definitions clarifying the relationship between the founder, the board, and the executive committee. It sets out the main purpose of the board: implementing the founder’s policies and strategies while directly supervising the foundation’s operations. The document details the board’s powers and responsibilities, including setting general policies, approving strategies and plans, endorsing budgets, appointing and evaluating the CEO, and establishing internal control and governance systems. It also specifies membership conditions, rights and duties of members, grounds for loss of membership, as well as the roles of the chairperson and secretary of the board. Furthermore, it regulates board meetings, whether regular or extraordinary, and outlines rules for decision-making and voting, while emphasizing transparency and institutional governance. This bylaw thus provides a clear organizational framework that ensures effective governance and oversight, enabling the foundation to achieve its developmental objectives in alignment with institutional best practices in the nonprofit sector, and supporting the goals of Saudi Vision 2030 in promoting governance, transparency, and effectiveness in charitable institutions.
